ResProAI Terms of Service

1. Introduction and Acceptance of Terms

Welcome to ResProAI ("ResProAI," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of ResProAI's website, services, products, and technologies, including our AI-driven solutions for website design, lead management, marketing automation, reputation management, and SMS/text messaging services (collectively, the "Services").

By accessing or using our Services, creating an account, or engaging with our platform in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. SMS Text Messaging Program - Terms & A2P Compliance

2.1 Program Overview and Scope

ResProAI operates TWO DISTINCT SMS messaging programs:

Direct B2B Communications: Messages sent directly from ResProAI to our business clients regarding account management, service updates, support communications, and platform notifications.

White-Label Messaging Services: Messages sent by ResProAI on behalf of our multifamily property management clients to their prospects, residents, and customers. In this capacity, ResProAI acts as a messaging service provider, sending communications that identify as the property management client (apartment community, residential property, etc.).

2.2 Opt-In Requirements and Consent

For Direct B2B Communications: By providing your mobile phone number during account registration or service setup, you expressly consent to receive SMS text messages from ResProAI regarding your account, services, billing, support, and important platform updates. Opt-in is collected via web forms, account registration pages, or service agreements with a dedicated checkbox for SMS consent.

For White-Label Messaging Services: When prospects or residents interact with our clients' chat widgets, web forms, scheduling tools, or other communication interfaces powered by ResProAI technology, they provide explicit consent to receive SMS messages from the property management client. This opt-in includes:

Clear disclosure that providing their mobile number constitutes consent to receive text messages

Identification of the property or apartment community they will be communicating with

Information about message frequency, standard messaging rates, and opt-out procedures

Timestamped records of consent maintained by ResProAI on behalf of the property management client

All opt-in mechanisms comply with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, Cellular Telecommunications and Internet Association guidelines, A2P 10DLC registration requirements, and all applicable federal and state regulations.

2.3 Message Types and Frequency

Messages may include, but are not limited to:

For Direct B2B: Account notifications, billing reminders, service updates, platform announcements, customer support communications, security alerts, and appointment confirmations related to your ResProAI account.

For White-Label Services: Leasing inquiries and responses, appointment scheduling and reminders, maintenance request updates, move-in/move-out coordination, community announcements, payment reminders, resident services, and customer support on behalf of the property management client.

Message frequency varies based on your service usage, account activity, appointment schedule, and the specific services you have requested or subscribed to. You may receive multiple messages per week during periods of active service usage. For white-label services, message frequency depends on the interaction level between the resident/prospect and the property management client.

2.4 Opt-Out and Cancellation

You can cancel SMS service at any time. To unsubscribe:

Text "STOP", "END", "CANCEL", "UNSUBSCRIBE", or "QUIT" to the phone number that sent you the message

You will receive a confirmation message confirming your opt-out request

Following confirmation, you will no longer receive SMS messages from that number

For white-label services, opting out will stop messages from that specific property/community only

To re-subscribe after opting out, you must opt in again through the same method as your initial consent (web form, account settings, or contact with the property management client).

Note: Opting out of SMS messages does not terminate your account or affect other communication preferences such as email notifications.

2.5 Help and Support

For assistance with the messaging program:

Reply "HELP" or "INFO" to any message for automated assistance

Contact ResProAI directly at [email protected]

For white-label services, contact the property management office directly using the contact information provided in their messages

2.6 Message and Data Rates

Standard message and data rates may apply for all messages sent to you and from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless carrier. ResProAI is not responsible for any charges incurred from your wireless carrier.

2.7 Supported Carriers and Delivery

Our SMS programs are compatible with all major U.S. wireless carriers including AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and most regional and prepaid carriers. Carriers are not liable for delayed or undelivered messages. Message delivery may be affected by factors outside of ResProAI's control, including network congestion, device compatibility, or carrier-level filtering.

2.8 Age Restriction

You must be 18 years or older (or the age of majority in your jurisdiction, whichever is greater) to participate in our SMS programs. By opting in, you represent and warrant that you meet this age requirement.

2.9 A2P 10DLC Compliance and Registration

ResProAI maintains full compliance with A2P (Application-to-Person) 10DLC messaging requirements as mandated by U.S. wireless carriers. Our messaging campaigns are registered with The Campaign Registry (TCR) and undergo carrier vetting processes. We maintain:

Registered brand identity with carrier networks

Approved use case campaigns for each type of messaging

Documented opt-in mechanisms and consent records

Compliance with throughput limits and content guidelines

Regular monitoring and audit procedures

2.10 SMS Data Protection and No Sharing Commitment

CRITICAL COMMITMENT: ResProAI DOES NOT and WILL NOT share, sell, rent, or trade SMS originator opt-in data (including phone numbers, consent records, timestamps, and related customer information) with any third parties, affiliates, partners, or other entities for marketing, promotional, or any other purposes unrelated to providing the direct messaging services you have consented to receive.

The only permitted sharing of SMS opt-in data is with:

SMS aggregators and telecommunications providers: Solely for the technical purpose of delivering messages you have consented to receive

Service providers supporting message delivery: Customer service platforms, security/fraud prevention tools, and technical infrastructure providers, all of whom are contractually bound to confidentiality and prohibited from using data for their own purposes

All other use cases, data sharing scenarios, and business operations explicitly exclude text messaging originator opt-in data and consent. This data is segregated, protected, and maintained with the highest level of confidentiality and security.

2.11 White-Label Messaging: Roles and Responsibilities

When ResProAI provides white-label messaging services to property management clients:

ResProAI acts as a messaging service provider/processor on behalf of the property management client

Messages identify as originating from the property/apartment community, not ResProAI

The property management client is responsible for the content accuracy and compliance of their messages

ResProAI maintains opt-in records and technical compliance infrastructure

Both ResProAI and the property management client share responsibility for TCPA and A2P compliance

ResProAI provides locally-provisioned phone numbers for each property/community

3. Service Description

ResProAI provides comprehensive AI-driven technology solutions including:

Website design, development, and hosting services

Lead capture, management, and automated follow-up systems

Marketing automation and customer relationship management (CRM) tools

Reputation management and online review monitoring

AI-powered chat widgets and conversational interfaces

SMS and email communication platforms

Appointment scheduling and calendar management

For property management clients: resident communication tools, maintenance request management, leasing automation

Services may be updated, modified, or expanded at ResProAI's discretion. We reserve the right to discontinue any service or feature with reasonable notice to affected users.

4. User Conduct and Acceptable Use

Users are responsible for their conduct while using ResProAI Services. You agree to:

Comply with all applicable federal, state, and local laws and regulations

Use the Services only for lawful business purposes

Not engage in fraudulent, deceptive, or misleading practices

Not send spam, unsolicited communications, or violate anti-spam laws

Not use the Services to send messages to individuals who have not provided proper consent

Maintain proper records of consent for all communications sent through our platform

Not attempt to circumvent security measures or access unauthorized areas

Not interfere with or disrupt the Services or servers/networks connected to the Services

Violation of these acceptable use provisions may result in immediate termination of your account and Services without refund.

5. User-Provided Content

By submitting communications, photos, data, information, reviews, opinions, or any other content ("User Content") to ResProAI or its platforms, you:

Authorize ResProAI to use such User Content (including, where applicable, your name, image, and likeness)

Grant ResProAI a limited, non-exclusive, royalty-free, sublicensable, irrevocable right and license to copy, use, distribute, reproduce, modify, display, perform, create derivative works from, store, and otherwise use such User Content in any media now known or in the future

You represent and warrant that:

You have sufficient rights in the User Content to make this grant

User Content submitted to ResProAI is not confidential or proprietary unless explicitly agreed in writing

Your User Content does not violate any third-party rights or these Terms of Service

5.1 Prohibited Content

User Content and communications must not:

Contain material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

Promote sexually explicit, pornographic material, or violence

Contain discriminatory content based on race, color, sex, religion, nationality, disability, sexual orientation, gender identity, marital status, or age

Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights

Violate legal rights (including privacy and publicity rights) of others

Promote illegal activity or assist any unlawful act

Impersonate any person or misrepresent your identity or affiliation

Give the impression that content emanates from or is endorsed by ResProAI if this is not the case

ResProAI does not endorse User Content and accepts no liability for User Content. We reserve the right to remove, edit, or refuse to post any User Content that violates these Terms or that we deem inappropriate for any reason.

6. Privacy and Data Protection

ResProAI values user privacy and handles personal information in accordance with our Privacy Policy, available at respro.ai/privacy-policy. By using our Services, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

For specific information about SMS data protection, opt-in data handling, and our commitment not to share text messaging originator data, please refer to Section 2.10 above and our Privacy Policy.

7. Intellectual Property Rights

7.1 Our Limited License to You

All content, features, and functionality available through the Services (including all software, designs, text, graphics, logos, images, audio, and trademarks) are the exclusive property of ResProAI and/or our affiliates or licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Services are provided solely for your personal or internal business use in accordance with these Terms. You may not:

Modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute any content from the Services without explicit authorization

Use automated systems (bots, scrapers, spiders) to access or collect data from the Services

Remove, alter, or obscure any copyright, trademark, or other proprietary notices

Reverse engineer, decompile, or disassemble any software or technology used in the Services

8. Account Registration and Security

To access certain features, you may be required to register for an account. You agree to:

Provide accurate, current, and complete information during registration

Maintain and promptly update your account information

Maintain the security and confidentiality of your login credentials

Accept responsibility for all activities conducted under your account

Immediately notify ResProAI of any unauthorized use at [email protected]

ResProAI is not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized account access that results from your negligence.

9. Payment Terms and Refunds

Payment details, pricing, billing cycles, and payment methods are outlined in your specific service agreement or subscription plan. You agree to:

Pay all fees associated with your selected Services

Provide valid payment information and authorize charges

Be responsible for any taxes, duties, or government-imposed fees

Refund policies vary based on the specific Services provided and your service agreement. Generally, services are non-refundable once rendered. For questions about billing or refund eligibility, contact [email protected]

10. Service Termination and Cancellation

10.1 Your Right to Terminate

For month-to-month service plans, you may terminate Services by submitting a 30-day written notice to [email protected] Annual or contract-based plans are subject to the terms specified in your service agreement.

10.2 ResProAI's Right to Terminate

ResProAI reserves the right to suspend or terminate your access to the Services, with or without notice, if:

You violate these Terms or any applicable law

You engage in conduct that we deem inappropriate, harmful, or unlawful

Your account has been inactive for an extended period

You fail to pay fees when due

Providing Services to you would create legal or regulatory liability for ResProAI

10.3 Effect of Termination

Upon termination of your account:

You must immediately cease all use of the Services

ResProAI may delete your account data after a reasonable retention period

You remain liable for all fees incurred prior to termination

Sections of these Terms that by their nature should survive termination will remain in effect

11. Disclaimers and Limitations of Liability

11.1 Service Availability and Accuracy

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 

To the fullest extent permitted by applicable law, ResProAI disclaims all warranties, including:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement

Warranties arising from course of dealing, usage, or trade practice

Warranties that the Services will be uninterrupted, error-free, or secure

Warranties regarding accuracy or reliability of content, data, or information

While ResProAI has made efforts to provide accurate information and reliable Services, we assume no responsibility for errors, omissions, or inaccuracies. We do not guarantee that the Services will meet your specific requirements or expectations.

11.2 Third-Party Services and Links

The Services may contain links to third-party websites, integrations, or services. ResProAI does not endorse, control, or assume responsibility for any third-party content, products, services, or privacy practices. You access third-party services at your own risk.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESPROAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the Services

Any conduct or content of any third party on or through the Services

Unauthorized access, use, or alteration of your transmissions or content

Service interruptions, errors, or technical failures

Any messages that are delayed, undelivered, or incorrectly delivered

ResProAI's total liability for all claims arising from or related to the Services shall not exceed the amount you paid to ResProAI in the last thirty (30) days preceding the claim, or $100 if you have not made any payments.

12. Indemnification

You agree to indemnify, defend, and hold harmless ResProAI and its officers, directors, employees, agents, affiliates, subsidiaries, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or related to:

Your use of or inability to use the Services

Your violation of these Terms

Your violation of any rights of any third party

Your User Content or any content submitted through your account

Your violation of any applicable laws or regulations, including TCPA, CAN-SPAM, or telecommunications regulations

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in New York, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

You agree to waive any right to a jury trial and to participate in class action lawsuits or class-wide arbitration regarding disputes with ResProAI.

14. Changes to These Terms

ResProAI reserves the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated by:

Posting the updated Terms on our website with a new effective date

Sending notice via email to the address associated with your account

Displaying a prominent notice on the Services

Your continued use of the Services after any changes indicates your acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Services and may terminate your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ResProAI regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No Waiver

ResProAI's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without ResProAI's prior written consent. ResProAI may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
